1. This agreement By accessing and using this website, you agree to comply with and are subject to the following Terms of Service ("TOS"), including any updates to these TOS which MeetMyMate may make from time to time without notice to you, MeetMyMate’s Privacy Policy, and any other rules, notifications or disclaimers displayed on this website. Headings used in these TOS are for convenience only and have no legal or contractual effect. 2. Membership and membership information Membership of MeetMyMate is only open to people over the age of 18 years. In order to become a member, you must provide accurate and complete information about yourself or your friend (as the case may be), and you must update that information regularly if your (or their) circumstances change. You may only create one member profile per person. In circumstances where you create a profile for someone else, that person will not become a member and the information in that profile will not become available to other members unless that person provides their full written consent by reply email to MeetMyMate’s introductory email and approves the entire profile (including any photographs or other material forming part of that profile). MeetMyMate reserves the right in its sole discretion (a) to request appropriate identification to verify any member’s identity and age; or (b) immediately to suspend cancel your membership without further notice if you breach this term. 3. Privacy All personal information you provide to MeetMyMate on this website will be treated in accordance with our Privacy Policy. 4. The MeetMyMate service MeetMyMate provides members with access to the products and services, including personal profile creation (by members themselves or by members on behalf of their friends, with fully informed consent of those friends) and viewing, email, instant messaging and other features, which are provided on this website currently and in the future (the "Service"). We reserve the right to change any feature or element of the Service at any time without notice to you. The Service may include advertisements and administrative messages which form part of your conditions of membership and you cannot opt out of receiving them. The Service is provided as is and MeetMyMate assumes no responsibility for errors, interruptions, omissions, or loss of personalised settings. Pricing of elements of the Service is disclosed on this website and that pricing may be varied from time to time by MeetMyMate without notice to you. All stated prices are inclusive of GST. All pre-paid services are non-refundable. 5. Member name and password You are responsible for maintaining the confidentiality of your MeetMyMate member name and password and you are fully responsible for all activities that occur under your member name and password. You agree (a) immediately to notify MeetMyMate of any unauthorised use of your member name or password; (b) not to impersonate another person or create member profiles for others without their fully informed consent; and (c) log out of the Service when you are finished. MeetMyMate will not be liable for any loss or damage arising from your failure to comply with this term. 6. Member conduct and prohibited content You are entirely responsible for all information, text, music, photographs, graphics, video, or other materials ("Content") that you upload, post, transmit or otherwise make available on or via MeetMyMate or transmit to another member by any means. MeetMyMate does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. By using the Service, you may be exposed to Content that you find offensive, indecent or objectionable, and MeetMyMate is not liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service or to other members via any means. You agree not to upload, post, transmit or otherwise make available on or via MeetMyMate or transmit to another member by any means, Content that is: unlawful, threatening, harassing, defamatory, hateful, indecent or discriminatory; false or misleading; invasive of another person’s privacy; an infringement of the rights of a third party, including without limitation, confidential or proprietary information or copyrighted, patented or trade marked content; spam, chain letters or advertisements / promotional materials; infected with software viruses, worms, Trojan horses or other harmful programs; exploitative of children or young persons under the age of 18, or of minority groups, women or animals. Without limiting the generality of the foregoing, You agree not to upload, post, transmit or otherwise make available on or via MeetMyMate or transmit to another member by any means, the following types of Content: Content identifying any person other than yourself or your friend who you wish to introduce to the Service, as the case may be. In the case of Content identifying your friend, this Content will not be made available unless and until we receive your friend’s fully informed consent to use of the Content on the Service; Nude images; or Images or descriptions of sexual organs or sexual acts. The content in (a) to (j) above is called “Prohibited Content”. You agree not to use MeetMyMate and the Service (or to contact any other MeetMyMate member) to transmit Prohibited Content or to harass, stalk, or otherwise make a nuisance of yourself to others, or to promote or engage in illegal activity. You also agree not to use any technological device to reproduce, reverse engineer or otherwise to interfere with the Service, or to use the Service to direct persons to another web page or otherwise to use the Service in the course of a business, organisation or enterprise. MeetMyMate reserves the right (but is not obligated to) pre-screen Content or monitor any and all activities of members using the Service, and may in its sole and unfettered discretion remove or modify any Content that is available via the Service for any reason, including without limitation breach of the TOS, or potential for harm of persons or property. MeetMyMate may access and disclose your account information and Content if required to do so by law or in a good faith belief that it is reasonably necessary to: (a) comply applicable laws or legal procedure; (b) enforce the TOS; (c) respond to claims that any Content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of MeetMyMate and its members. 7. Safety and security Whilst MeetMyMate considers your safety and security paramount, it is possible that another member may breach these TOS, by posting offensive Content or using MeetMyMate to harass or otherwise interfere with your personal integrity. Accordingly, please review MeetMyMate’s Safe Dating Tips to help you to avoid uncomfortable or problematic encounters. However, these safe dating tips are only a guide and are not intended to be a comprehensive set of instructions. You use this website and the MeetMyMate Service entirely at your own risk and you should be cautious and exercise common sense when communicating with people you do not know. MeetMyMate provides a “safety shield” feature which members can use if they wish to prevent another member from contacting them or viewing their profile. 8. Complaints and dispute resolution If you experience any issues with another member of MeetMyMate, you can send us an email via the Contact Us page or on helpme@MeetMyMate.com.au. We may retain details of any complaint you make, or any complaint made against you. We may in our sole discretion monitor disputes between members, but we are not obliged to do so. You agree to indemnify us against any loss or damage in connection with any dispute against another member of MeetMyMate. 9. Intellectual property MeetMyMate owns and retains all intellectual property in the Service, the MeetMyMate website and all literary and artistic works and other subject matter comprising the Service and website, and you must not use or reproduce any part of the Service or the website without MeetMyMate’s prior written consent, which may be withheld in its absolute discretion. You warrant that all Content posted or transmitted by you through the Service or transmitted to other members by any means is free from encumbrances and does not infringe the intellectual property or other legal rights of any third party, and you grant MeetMyMate a worldwide, royalty-free and non-exclusive licence to use, reproduce, store, modify and communicate to the public, in any manner and any form, your Content for all purposes worldwide in perpetuity. You may not use, reproduce, store, modify or communicate to the public any Content posted by another member other than with their express written permission. 10. Limitation of liability and indemnity Your use of the MeetMyMate Service is at your own risk, and that MeetMyMate is not liable for your use and conduct, or any other member’s use and conduct. The service is provided on an "as is" and "as available" basis. Access to the MeetMyMate Service may be suspended temporarily without notice in the case of system failure, routine or crisis maintenance or repair or any reason beyond our control. To the extent permitted by law, MeetMyMate and its affiliates, officers, employees and agents expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. You agree to indemnify and hold MeetMyMate and its affiliates, officers, employees and agents harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of Content you submit, post, transmit or otherwise make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another. MeetMyMate will not be liable for any special or consequential loss or damage, including punitive or indirect loss or damage such as loss of profits, goodwill, or business interruption of any type. 11. Modifications to Service MeetMyMate reserves the right at any time and from time to time to charge fees for any part of the Service, or to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that MeetMyMate will not be liable to you or to any third party for any fee introduction, modification, suspension or discontinuance of the Service. 12. Termination and suspension You may terminate your membership at any time and for any reason only by providing written notice to us in one of the following ways only: (a) selecting ‘CLOSE’ on the MYHOME page and following the prompts; (b) mailing your notice of termination (including details of your membership sufficient for us to identify you, including member name and password) to our postal address listed on the Privacy Policy page on our website; (c) emailing us via the Privacy Policy page on the website or on helpme@MeetMyMate.com.au. We reserve the right to do any or all of the following in relation to your membership: Suspend your membership for such period as we deem appropriate; Permanently or temporarily hide all or part of your member profile; Terminate your membership for any reason by immediate notification to your listed email address; Terminate your membership without any notice if you have breached the TOS; De-activate your membership if you have not used MeetMyMate for a period of 3 months, in which case you will be notified of de-activation by email and your profile hidden from other members; Permanently or temporarily block your access to all or part of the MeetMyMate service. 13. Links and advertising The Service may provide, or third parties may provide, links to other websites, over which MeetMyMate has no control. MeetMyMate is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. Nor is MeetMyMate responsible or liable for any content contained in any third party advertising contained on the MeetMyMate website. 14. Miscellaneous Entire agreement. Subject to clause 1, these TOS represent the entire agreement between you and MeetMyMate regarding your use of the Service. Severability. If any provisions of these TOS are found to be invalid, the remaining provisions remain in full force and effect. Governing law. These TOS are governed by the laws of New South Wales. If you are accessing this website from anywhere other than New South Wales, Australia, you must ensure that you comply with the laws of the place where you live in accessing the Service. Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action arose.
